September 15th

Greetings, Friend!

Airports, seaports, and military bases share a problem that keeps getting harder. Threats now arrive by ground and by air, often at the same time.

VisionWave Holdings, Inc. (Nasdaq: VWAV) is lining up a company that has spent more than 30 years defending those perimeters.

Recently, VisionWave signed a term sheet to acquire a controlling interest of at least 51% in D-Fence, an AI-powered perimeter security and electronic fencing specialist, with an option to acquire the remaining stake within two years.

The customer list stands out.

D-Fence systems have been deployed across more than 100 critical infrastructure projects in 12 countries, with clients including Ben Gurion International Airport, Haifa Port and Israel Defense Forces facilities.

The transaction is expected to close in October 2026, subject to due diligence, approvals, and a definitive agreement.

Inside The Boardroom

When the deal surfaced, VWAV Executive Chairman Douglas Davis called D-Fence “an exceptional strategic addition to our expanding platform.

D-Fence founder and CEO Uriel Bin said the tie-up would help accelerate his company’s global expansion.

Weeks later, shareholders approved a slate of proposals at the September 1st VWAV annual meeting, including share issuances tied to the QuantumSpeed, xClibre, SaverOne and Solar Drone transactions.

Holders also authorized a reverse split of up to 1-for-250 that can be implemented through December 31, 2027, and approved a 2026 Omnibus Equity Incentive Plan reserving 7Mn shares.

The Dual-Use Pivot

VisionWave is not relying on defense alone.

Its May 2026 corporate overview laid out a dual-use strategy that moves technology from military programs into commercial infrastructure, and back again.

Solar Drone, a wholly owned subsidiary, supplies drone-mounted payloads for large-scale solar and infrastructure cleaning, and it added distribution in Italy and Spain along with a follow-on hardware order from an existing European client.

The same overview cites a signed purchase order received April 2nd, 2026, from a Latin American public safety organization for drone-based operational systems, which the company describes as its first commercial homeland security order.

On the defense side, the company introduced the TALON aerial system and the D-FLY interceptor at Eurosatory 2026 in Paris, both manufactured in England through VisionWave UK Ltd.

Company Breakdown: VisionWave Holdings, Inc.

VisionWave develops RF sensing, AI autonomy and computational acceleration technologies for unmanned ground, air and sea vehicles.

Its website lists platforms including the VARAN UGV, RF multi-domain sensing systems, AI-integrated drones, tactical micro-ATVs and solar drone systems.

In its September strategy update, the company grouped these programs into Platforms, Payloads and Intelligence, backed by 21 issued patents and 9 pending applications, while noting that substantially all of these technologies remain in development.

The structure also aims at expanding through the pending 51% CM Israel acquisition, targeted to close in September 2026.

Sector Pulse: Two Demand Curves

Defense budgets form the first curve.

There are projections that global defense spending will top $2.6Tn in 2026, and it names counter-drone technology, border security and critical infrastructure protection among its addressable segments.

Ground autonomy is the second curve.

MarketsandMarkets estimates the unmanned ground vehicle market at $3.8Bn in 2025 and projects $9.9Bn by 2036, with defense holding the largest revenue share and Asia Pacific expected to grow fastest.

Counter-drone systems are the sharpest edge of that spending.

MarketsandMarkets projects the C-UAS market will grow from $6.64Bn in 2025 to $20.31Bn by 2030, a 25.1% compound annual growth rate, and identifies North America as the fastest-growing region.

Perimeter protection with counter-drone capability, the D-Fence specialty, maps directly onto that trend.

6 Potential Catalysts Sending (Nasdaq: VWAV) To THe Top Of Our Watchlist

#1. A Potential Controlling Stake In A 30-Year Perimeter Security Specialist. Closing the D-Fence deal would give VWAV AI-enabled intrusion detection and counter-drone capability with a deployed customer base.

#2. A Low Float Profile Near 22Mn Shares. With Yahoo Finance reporting a float of roughly 22.03Mn shares, VWAV qualifies as a low float idea, and the potential for heightened volatility may be significant.

#3. First Homeland Security Order From Latin America. The April purchase order gives VWAV an early reference customer for drone-based public safety systems.

#4. Commercial Footprint Expanding Across Southern Europe. The Italy and Spain distribution agreement widens the commercial base supporting VWAV beyond defense budgets.

#5. Counter-UAS Spending Projected To Reach $20.31Bn By 2030. That projected growth rate places the D-FLY interceptor and planned D-Fence capabilities of VWAV in a fast-moving segment.

#6. SkyWeave Communications Anchor A New Counter-UAS Patent Application. Beyond satellite detection, the September 4th filing covers AI-controlled high-frequency links for beyond-line-of-sight command and control, a capability that could complement the perimeter security assets VWAV is pursuing through D-Fence.

Final Pulse Check

The signal is getting clearer.

Demand for counter-drone and perimeter protection is rising, and VisionWave is angling to assemble assets aimed at that need, from D-Fence and C.M. Israel on the defense side to Solar Drone on the commercial side.

Put VWAV on your radar and review the company’s filings as milestones approach.
