October 28th

Greetings, Friend!

Picture a finance team juggling 50 separate credit agreements with three different lenders, each with its own payment calendar and bank fees.

That was the reality behind 53 operating solar projects at PowerBank Corporation (Nasdaq: PBK).

Then the company announced a CA$25.4Mn refinancing that folds all of it into a single agreement with a major Canadian bank.

The numbers behind the move are concrete. Outstanding project loan principal is expected to fall by approx. CA$4.2Mn, or 14%, while approx. CA$5.0Mn in net cash should flow back to the company. It’s also reported that PowerBank will take over operations and maintenance for 49 of those projects to trim operating costs further.

The same week, PowerBank filed a shelf registration covering up to $200Mn in securities over a 36-month window. That gives management a ready framework to fund construction when market conditions allow.

Behind The Scenes: Inside The Fiscal 2026 Call

When management took the mic for the fiscal 2026 earnings call, PBK CFO Nicole Russaw walked listeners through a year of deliberate trade-offs. Revenue fell 34% to CA$27.4Mn as one-time EPC and development fees rolled off, but recurring power production revenue rose to CA$9.8Mn.

PBK CEO Dr. Richard Lu then turned to the build-out: interconnection agreements for all three Nova Scotia community solar projects totaling 12.4 MW, 60 MWh of new battery storage projects in upstate New York, and commercial operation for a 21 MW New York community solar portfolio.

Eight New York projects were also safe-harbored ahead of the IRS deadline, preserving an estimated $30Mn in federal ITC value on roughly $74Mn of construction.

In the year-end release, Lu said he expects revenue to return to growth in fiscal 2027, after five projects reached commercial operation during the year.

From Solar Fields To Server Racks

The next chapter ties PowerBank to one of the defining infrastructure themes of the decade.

The International Energy Agency projects that data centers will account for almost half of U.S. electricity demand growth through 2030, and new large loads can wait years for a grid connection.

PowerBank's answer is co-location. Its joint development agreement with Nodiac sets a framework for placing containerized data centers of 1 to 20 MW at its solar and battery storage sites across North America, with a plan to share project cash flow. The partners aim to bring compute online in months, not years.

Defense work adds another layer.

Through its U.S. subsidiary, PowerBank w-o-n a $2.95Mn Department of Defense contract for a solar canopy and EV chargers at the Armed Forces Reserve Center in Farmingdale, New York, its first project for the U.S. federal government.

About PowerBank Corporation

Toronto-based PowerBank is a vertically integrated independent North American energy company.

It originates, permits, builds, owns and operates solar and battery storage projects in Canada and the United States, and it is listed on Nasdaq, Cboe Canada and the Frankfurt exchange.

Revenue comes from three streams: EPC services for third-party owners, development fees, and production revenue from power plants it owns.

Management reported a pipeline of approx. 200 MW and 756 MWh, including 15.5 MW under construction and 130 MW in advanced development.

Its SFF 06 battery storage project in Ontario began commercial operation earlier in 2026 under a long-term contract with the provincial grid operator.
