Hey there, bargain hunter. A Japanese insurer just handed Challenger shareholders a roughly 20% premium on a stock that has spent years going nowhere in particular. The market called it a gift. We are not so sure the buyer got the short end.

Big Tech is bidding against itself for dead mines Google quietly backstopped a bitcoin miner for 1.8 billion dollars. Amazon signed 5.5 billion with a second one. Microsoft wired 9.7 billion to a third. Roughly 63 billion dollars of Big Tech money landed on bitcoin miners inside a single year. None of it is about bitcoin. They are bidding for something the miners picked up cheap in 2021, and once a site is taken it is gone for twenty years. Dylan Jovine is naming it, free >> |
ScoreboardTAL Dai-ichi Life Australia submitted an indicative proposal to buy the roughly 79.5% of Challenger shares it does not already own. Challenger said the proposal implies an equity value of about A$7.94 billion (about US$5.53 billion at the time of reporting). The offer is A$11.80 per share, a premium of 19.8% over Challenger's prior close on Friday. Challenger shares jumped about 16.7% to A$11.49 in Monday morning trading, their highest level since October 2018. The one-month volume-weighted average price was A$10.03, making the headline premium 17.7% on that basis. What Actually HappenedDai-ichi Life, through its Australian unit TAL, agreed to acquire a 15.1% minority stake in Challenger from MS&AD Insurance Group Holdings on 7 April 2025, subject to regulatory approvals. The acquisition was completed on 1 August 2025, and TAL's total holding rose to 19.9%. So this is not a cold approach. Dai-ichi has been watching from the inside for about fifteen months, and now it wants the rest. On Friday, Challenger spent A$4.9 million buying back 500,000 of its own shares at prices between A$9.69 and A$9.89. After the market closed, an offer of A$11.80 a share arrived. The company was repurchasing its own stock at around A$9.84 the same afternoon the bid landed. That is the tell: management thought the stock was cheap at A$9.84. Dai-ichi agreed, and offered A$11.80. What the Business Is WorthEstablished in 1985, Challenger is a Sydney-listed investment management company with around A$128 billion in assets under management, focused on providing financial security for retirement. Challenger Life is Australia's largest provider of annuities, the products that turn a retirement pot into a guaranteed income stream.

Undiscovered Sub – $1 Gold-Silver Royalty Stock Takes Flight Gold and silver are in a powerful bull market – and one little-known sub – $1 royalty stock is entering its biggest growth phase yet. The company is already generating record revenue from producing gold and silver mines and has just announced the largest transaction in its history. The FY26 numbers are not those of a distressed asset. Challenger's FY26 annual report shows normalised net profit after tax of A$468 million (up 3%) and statutory net profit after tax up 163%, supported by positive asset and liability experience. Total Life sales increased 12% to A$9.6 billion. Annuity sales rose 19% to A$6.2 billion, supporting annuity book growth of 10.7%. Normalised return on equity was 11.6%, above its target for the second consecutive year. Is It Cheap for the Buyer? At A$11.80 and A$7.94 billion total equity value, Dai-ichi is paying roughly 17x FY26 normalised NPAT of A$468 million. That is a reasonable price for a business with structural tailwinds underneath it. Australia’s superannuation system was widely reported at around A$4.5 trillion and described as the world’s fourth-largest pool of retirement savings in 2026, putting Challenger close to the center of a long-duration retirement shift. A reasonable multiple is not the same as a safe price. Famous brands trading at depressed multiples can still be value traps when leverage and structural decline are hiding behind the yield. Dai-ichi Life has said it plans to deploy significant capital into growth initiatives through its fiscal year ending March 2031. A deal of this size would consume a meaningful but manageable slice of that capacity. Strategically, Dai-ichi has explicitly pointed to a shrinking Japanese market tied to demographic decline as a reason to grow earnings overseas, including in Australia. Annuities sold to young-ish Australian retirees are a structurally better product to own than policies sold in a market where the median customer is already elderly.

Where Investors Can Still Find 10X Opportunities Some of the biggest investment gains come from small, overlooked markets. Bull / Base / Bear
- Bull: Challenger's board accepts A$11.80, FIRB clears the deal, and Dai-ichi gets full control of about A$128bn in AUM at a price that looks reasonable in five years when Australian retirement assets have grown further. CGF holders collect a clean exit above recent trading ranges.
- Base: The board negotiates a modest bump, say A$12.20-A$12.50, before recommending. The deal closes in mid-2027 after regulatory clearance. Dai-ichi overpays slightly by historical standards but earns it back through synergies with TAL's existing Australian life insurance operation.
- Bear: The proposal depends on satisfactory completion of due diligence, a scheme implementation agreement, approval from relevant regulatory bodies including the Foreign Investment Review Board, and a recommendation from Challenger's board. Any of those conditions breaks the deal. CGF reverts toward A$10 and the stock loses the bid premium entirely.
Action PlanIf you already own CGF, hold. The stock at A$11.49 is already pricing in most of the A$11.80 offer, leaving about 31 cents of spread, roughly 2.7%. That is thin for an indicative, non-binding approach with FIRB hurdles still ahead. Do not chase it here. The more interesting question is what this deal says about other mid-cap Australian financials. Dai-ichi is not the only Japanese insurer searching for yield outside a shrinking home market. AM Best has noted that Japanese insurers are taking advantage of growth opportunities in Australia and other developed economies to maintain long-term growth and diversify revenue streams. If Challenger clears at A$7.94 billion on A$468 million of normalised profit, comparable Australian retirement-income businesses trading at similar or cheaper multiples deserve a closer look. Cheap Investor Scorecard
- Bid premium vs. VWAP: 17.7% above one-month average. Adequate, not generous.
- Implied P/E: Roughly 17x normalised FY26 NPAT of A$468 million.
- AUM per bid dollar: A$128bn AUM for A$7.94bn equity. That is 16 cents per dollar of AUM.
- Annuity sales growth: 19% in FY26 to A$6.2 billion. The engine is accelerating.
- Capital position: Challenger ended FY26 with a Prescribed Capital Amount ratio of 1.38 times the minimum regulatory requirement and A$1.1 billion of capital above the minimum requirement.
- ROE: 11.6%, above target for the second straight year.
- Deal risk: Non-binding. FIRB approval required. Board not yet recommending.
- Spread to bid: About 2.7% at Monday's open price of A$11.49.
- Strategic logic for buyer: High. Dai-ichi Life has repeatedly framed overseas expansion as a response to Japan's demographics.
- Watch for: A revised offer above A$11.80, or a competing bidder emerging from the sector.
Bottom LineIf the board recommends and FIRB nods, CGF holders get a clean exit at a fair price for a stock that drifted for years. The real winner here may be the buyer. Dai-ichi is locking in full ownership of Australia's largest annuity franchise, about A$128 billion in AUM, and a structural position in a retirement market that should keep growing for decades, at a price that looks reasonable today and could look cheap by 2030. Watch for a board recommendation and any counter-offer. If either arrives, the spread widens fast. |
